  1. Terms of Service Agreements General Information
    Regarding These TERMS OF SERVICE AGREEMENT Universal terms: Welcome, and thank you for your interest in TEITCO.com (“TEITCO,” “we,” “our,” or “us”). And YOU ( Your, Client, User Visitor, Agent) Unless otherwise noted on a particular site or service, these Terms of Service Agreements (“ Universal Terms, Terms of Service Agreements”) apply to your use of all of the websites TEITCO operates. Universal Terms also apply to all Services, Information, and Products provided through the Websites.
  2. Additional terms
    In addition to the Terms of Service Agreements, your use of any services may also be subject to specific terms applicable to a particular service (“Additional Terms”). If there is any conflict between the Additional Terms and Universal Terms, then the Additional Terms apply concerning the appropriate use. Collectively, the Terms: The Terms, together with any Additional Terms, form a binding legal agreement between you and TEITCO concerning your use of the Services. Collectively, this legal agreement is referred to below as the “Terms.”Human-readable summary of Sec 1: These terms, together with any special terms for particular websites, create a contract between you and TEITCO. The agreement governs your use of all websites operated by TEITCO unless a particular website indicates otherwise.
  3. Your Agreement to the Terms of Service Agreements
    By: CLICKING “I ACCEPT” “I AGREED” OR OTHERWISE ACCESSING OR USING ANY OF THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THE TERMS. By clicking “I ACCEPT” or “I AGREED” or otherwise accessing or using any services, or contacting us via any chat, email, Messenger, or Phone call, you also represent that you have the legal authority to accept the Terms on behalf of yourself and any party you represent in connection with your use of any services. If you do not agree to the Terms, you are not authorized to use any services. If you are an individual who is entering into these Terms on behalf of an entity, you represent and warrant that you have the power to bind that entity. You now agree on that entity’s behalf to be bound by these Terms, with the terms “you” and “your” apply to you, that entity, and other users accessing the services on behalf of that entity. Human-readable summary of Sec 2: Please read these terms and only use our sites and services if you agree to them.
  4. Changes to the Terms of Service Agreements
    From time to time, TEITCO may change, remove, or add to the Terms of Service Agreements and reserves the right to do so at its discretion. In that case, we will post updated Terms and indicate the revision date. If we feel the modifications are material, we will make reasonable efforts to post a prominent notice on the relevant Website(s) and notify those of you with a current TEITCO Login Service account via email. All new and revised Terms take effect immediately and apply to your use of the services from that date on, except that material changes will take effect 30 days after the change is made and identified as material. Your continued use of any Services after new or revised Terms effectively indicates that you have read, understood, and agreed to those Terms of Service Agreements. Human-readable summary of Sec 3: These terms may change. When the changes are essential, we will put a notice on the website. If you continue to use the sites after the changes are made, you agree to the changes.
  5. Definitions
    DID” means a telephone number assigned by Teitco to Customer (or ported to Teitco by Customer) that has functionality that allows inbound voice communication.“911 Enabled DID” means a telephone number assigned by Teitco to Customer (or ported to Teitco by Customer) that has functionality that allows inbound voice communication and also has an Address registered to the 911 Enabled Two-Way Number. Each account comes standard with a Default 911 Enabled DID that you register your location address with for 911. You can purchase additional e911 Address locations as outlined below.“911 Services” means functionality that allows end users to contact emergency services by dialing the digits 9-1-1. “ANI” means Automatic Number Identification.“Basic 911 Service” means the ability to route an emergency call to the designated entity authorized to receive such calls serving the Customer’s Registered Address. With Basic 911 Service, the emergency operator answering the phone will not have access to the caller’s telephone number or address information unless the caller provides such information verbally during the emergency call.“Call Rating” means the methodology used to define the type and jurisdiction of a specific call. Call Rating criteria include the originating Automatic Number Identification (ANI) (sometimes referred to as the from or source fields) and terminating ANI provided in the call signaling (sometimes referred to as the destination or To fields; may also include remote party ID field). Call Rating defines the type of calls and correlating costs per call.“Class 5 Features” means additional phone features beyond standard routing and audio. For example, both call hunting and voicemail are Class 5 Features.“Default” means (and will occur): (i) if Customer fails to make any payment for the Service not disputed in good faith pursuant to the terms below.“Directory Listings” means the listing of a Subscriber’s telephone number in the ILEC directory for a market.

    Enhanced 911 Services,” “E911 Services,” or “E911” means the ability to route an emergency call to the designated entity authorized to receive such calls, which in many cases is a Public Safety Answering Point (“PSAP”), serving Customer’s Registered Address and to deliver the Subscriber’s telephone number and Registered Address information automatically to the emergency operator answering the call.

    FAXStation” Is a fax product that allows faxing over HTTPS. It entails a premise box that converts the faxes to HTTPS requests and sends the information to our Datacenter for the transmittal of the Fax. It fully supports inbound and outbound faxing and has a per-month charge.
    Improper Calls” means call types that (i) would result in TEITCO incurring originating access charges, local exchange carrier “DIP” fees, or other call types that may be subject to a reverse billing process, (ii) 911 / E911 or other emergency service calls; (iii) any unauthorized or fraudulent communications on pay-per-call numbers, information service calls, directory assistance calls or the like; and/or (iv) mass calling events, excessive non-completed and invalid calls and failed calls due to inadequate Customer capacity.

    International” means anywhere outside of the continental United States, including Alaska and Hawaii.

    IP” means Internet Protocol.

    IP Originated” means traffic utilizing TCP/IP as a transmission protocol from the originating equipment (i.e. SIP phones, SIP PBX, TDM to SIP Gateway, IP-adapter, etc.) to a TCP/IP gateway, for termination to an IP destination or the PSTN.

    LCA” or “Local Calling Area” means a geographical local calling area (determined by the applicable ILEC) containing one or more Rate Centers.

    LNP” means local number portability.
    NADP” means the North American Dialing (or Numbering) Plan.
    Number” or “Numbers” means 911 Enabled Two-Way Number(s) and/or Toll-Free Number(s)
    Operator and Directory Assistance” means live or automated operator assistance for the placement of Subscriber calls, listing services and/or related information. Usually dialed with a 411 or NPA-555-1212
    Phone System” means a communication system that transmits information between distant points. For the purpose of clarity, a phone system such as a Key-system (i.e. IP-Key-system, Analog Key-system, Digital Key-system or Hybrid key- system), a Private Branch Exchange (PBX) (aka IP-PBX) system, or any other voice application or appliance.

    PSTN” means the public switched telephone network.

    Rate Center” means a geographic area (determined by the applicable ILEC) within a LCA or market that is associated with one or more specific NPA/NXX codes.

    Registered Address” means the address provided by the Customer and entered into appropriate TEITCO-provided portals, which address represents the physical location from which the Service (and 911 Enabled Two-Way Numbers associated with the Service) will be used.

    Responsible Organization” means the party hereto that is responsible for managing and administering the account records in the Toll-Free Service Management System Database.

    Service” means TEITCO’s SIP Trunk service, DID Assignment, and Professional Voice Production provided pursuant to these Terms and Conditions and as further described in Section 2 below.

    Session Initiation Protocol” or “SIP” is the signaling protocol used between VoIP networks to establish, control, and terminate voice calls.

    Standard Business Use” means the use of the Service as contemplated by these Terms and Conditions in a manner consistent with business use, which will include, without limitation: (i) use with a Phone System; (ii) a maximum of 15 Numbers per SIP trunk; and (iii) a Registered Address. Standard Business Use does not include an IP address outside of the United States.

    Standard Support” allows the customer to open a support ticket or contact our support department by telephone to receive help in troubleshooting why something may not be working. If we determine that everything from our end is functioning normally, you will need to Purchase Profesional Service to configure your PBX to meet your specific needs, or you may also freely configure your PBX by your own.

    Subscriber” means an individual, end-user, or telephone device to which a Number is assigned by TEITCO (or to which a Number is ported by Customer).

    TCP/IP” means Transmission Control Protocol / Internet Protocol.

    Toll-Free Number” means a telephone number that supports NADP and is assigned to Customer by TEITCO (or ported to TEITCO by Customer) for use with the Service.
    U.S. Domestic” means the continental United States (excluding Alaska and Hawaii). “VoIP” means Voice over IP.

  6. Privacy Policy
    TEITCO is committed to responsibly handling the information and data we collect through our Services in compliance with our Privacy Policy, which is incorporated by reference into these Terms of Service Agreements.   7. Copyright Complaints
    TEITCO respects the copyright, and we prohibit users of the Services from submitting, uploading, posting, or otherwise transmitting any content on the services that violates another person’s proprietary rights. To report allegedly infringing Content hosted on a website owned, hosted, or controlled by TEITCO, send a notice of Infringing Materials as set out at TEITCO DMCA POLICY HERE.
  8. Trademarks 
    TEITCO name, logos, icons, and other trademarks may only be used in accordance with our Trademark Policy, which is incorporated by reference into these Terms of Service Agreements. Please review the Trademark Policy. To view Trademarks, click HERE.
  9. Content
    Available through the services provided as-is: You acknowledge that TEITCO does not make any representations or warranties about the material, data, and information, such as data files, text, computer software, code, music, audio files, or other sounds, photographs, videos, or other images (collectively, the “Content”) which you may have access to as part of, or through your use of, the services. Under no circumstances is TEITCO liable in any way for any content, including, but not limited to: any infringing content, any errors or omissions in Content, or for any loss or damage of any kind incurred as a result of the use of any content posted, transmitted, linked from, or otherwise accessible through or made available via the services. You understand that you may be exposed to Content that is offensive, indecent, or objectionable by using the services. You agree that you are solely responsible for reusing content made available through the Services, including providing proper attribution. You should review the applicable license terms before using the content to know what you can and cannot do.
  10. Content Supplied by YouYour responsibility:
    You represent, warrant, and agree that no content posted or otherwise shared by you on or through any of the Services (“Your Content”) violates or infringes upon the rights of any third party, including Copyright, Trademark, Privacy, Publicity, or other personal or proprietary rights, breaches or conflicts with any obligation, such as a confidentiality obligation, or contains libelous, defamatory, or otherwise unlawful material. Removal: TEITCO may, but is not obligated to, review your content and may delete or remove your content (without notice) from any of the Services at its sole discretion.
  11. Your Account
    When you sign up for a service, Place an order, or register with TEITCO, you have an account that offers access to your Billing options, Active services, Support request, and much more. We provide you with an online account, as we referred to your TEITCO account. You are required under these Terms of Service Agreements to provide accurate information; TEITCO Reserves the right to suspend the access with or without notice for any and no reason. TEITCO recommends keeping a copyof all emails for your sole personal use.
  12. Fees & Payment Payment
    All services are due upon ordering or renewal of the service and must be paid before the service is ordered.
  13. Invoice Notification, History, and Client Portal Access
    By subscribing to our services, you consent to Teitco possibly not sending invoice notifications for recurrent services, which may be sent before or after payments are made.
    Additionally, you will gain access to the client portal at Teitco.com, enabling you to view all invoices, services, and communication history associated with your account. Within the portal, you can access your complete invoice history and review communication history.
    You have the option to enable or disable receiving recurrent invoice notifications by contacting our support team or adjusting your notification settings within the client portal.
  14. Payment Methods 
    TEITCO accepts most major Credit/Debit/Prepaid Cards as a payment method.Billing Details: All Active accounts and services at TEITCO require to have an active payment method on your TEITCO account; removing a required method of payment can potentially put at risk the active service at, it is your absolute responsibility to keep an Active method of payment, and TEITCO will not be liable or responsible for any incident that may arrive from automatically payment methods even if payment was not automatically able to process form TEITCO.Credit or Debit Card: When you submit a payment to TEITCO using a Credit/Debit/Prepaid Card for the first time or update, Your Credit/Debit/Prepaid Card information will be automatically saved encrypted on your TEITCO account as a default method of payment and will be used to process any due/ past due and future invoices, Payments, and fees.Failure to Pay: For any fee that is past due to any event, TEITCO will automatically attempt to process the payment using any of the methods of payment saved in your TEITCO account failure to process the payment, your active services at risk of interruption and potentially domain renewal lost if any involve is your responsibility to keep active payment method to avoid any past due to invoices and fees or possible collections actions.Refunds: All Payments Submitted to TEITCO at the time of order are nonrefundable. Therefore, ALL SALES ARE FINAL. This term applies to fees that are due, past due, Overdue or delinquent accounts. If a refund is authorized, it will be done to the same payment method within 15 Business Days. Termination and Non-Payment: Any account that is in the past due stage is at risk of Termination of service and could require a restoring fee of $45.00. Auto Payment: All Services that include recurring payments Monthly, Quarterly, Semi-annual, and Annual are automatically enrolled in auto payment, and fees will be processed using your payment method on your TEITCO Account. Debit Credit Card Saved: When Performing a Payment with a Credit or Debit card, your Credit or Debit card will automatically be encrypted and saved in your TEITCO account. The latest credit or debit inserted becomes the default payment method in your TEITCO account; your user can change the default card at your TEITCO account portal. Pricing may be changed without notice.
  15. Payment on Weekends
    The Billing system is configured not to generate invoices, process payments, or send notifications on Saturdays and Sundays  Any invoice with a due date on Saturday & Sunday will be processed on Monday; our Billing department does not respond to billing inquiries over the weekend ( Saturday and Sunday ) Any process of payment Customer care for billing related will be handle by our standard business Hours Monday to Friday from 8 to 5 PM us Eastern time.
  16. Links to Third-Party Sites
    TEITCO may contain links to websites controlled or offered by third parties (non-affiliates of TEITCO). The links are only provided as a convenience, and TEITCO does not endorse or recommend any products or services offered by or information contained in any of these third-party sites. TEITCO hereby disclaims all liability for all information, materials, products, or services posted, offered, or that may be accessed at any of the third-party sites linked to this Site. TEITCO makes no representation regarding the quality of any product or service contained at any such third-party site. Furthermore, TEITCO hereby disclaims all liability for any failure of products or services offered or advertised at those third-party sites.
  17. Onsite Visit
    Teitco, as a VoIP provider, provides full support on the cloud and service  and understand is the choice or preference of the client to request an onsite service due to the nature of the service Teitco does not offer onsite service  however, we are committed to using the best technology for communications, and we may request videos describing the issue photos also are welcome to be part of the troubleshooting process under extreme conditions we may request video calls via zoom Whatsapp to provide the best experienceOnsite support in the area of service has a Service fee to know the exact price and coverage. We advise you to call us at 305-290-1000 for more information, and one of our Telecom specialists can provide you with the exact cost depending on the locations and the terms of service.
  18. Restrictions
    You agree not to use, transfer, or distribute any Site Content in any manner that could compete with the business of TEITCO or any of its licensors. You agree not to modify, move, add to, delete or otherwise tamper with the Site Content in any way and to retain all copyright and other proprietary notices displayed on the Site Content. You also agree not to copy, disclose, post, distribute, reproduce, publish, display, transmit, perform, create derivative works of, decompile, reverse engineer, disassemble, link to, or unlawfully use or reproduce any of the Site Content without TEITCO prior written consent. You agree to use this Site and the Site Content solely for your use and benefit. Moreover, you agree not to use this Site for any illegal purpose or in any manner inconsistent with the Terms of Service Agreements.
  19. Discontinued Services
    TEITCO reserves the right to cease offering services or providing features and functionalities related to paid or free service at any time, and for any or no reason, with or without notice, TEITCO does its best to maximize the lifespan of the services offered. Still, there are times to discontinue the service due to the end of life in the event those services, TEITCO will no longer provide support to those services, regardless of the situation.
  20. Intellectual Property
    You acknowledge that this Site, including, without limitation, all content available on or through this Site (collectively, the “Site Content”), is the property of TEITCO or its licensors and is protected by copyrights, patents, trademarks, service marks, international treaties or other proprietary or intellectual property rights and laws of the U.S. and other countries. You agree to abide by all applicable copyright and other laws, and you may not modify, copy, distribute, transmit, display, publish, sell, license, create derivative works, or otherwise use any Site Content for commercial or public purposes. The trademarks, trade names, logos, designs, and service marks displayed on this Site (“Marks“) are the registered and unregistered trademarks of TEITCO and its licensors. You may not use the Marks for any purpose, including, without limitation, for advertising or promotion, in any public medium, to imply any endorsement by or relationship with TEITCO or its licensors, or use as “hotlinks” or meta tags in other pages or sites on the World Wide Web, without the prior written approval of TEITCO or such licensor that may own the Mark. All future rights in and to the Site Content, including without limitation the underlying technology and software, and any patents, copyrights, trademarks, service marks, trade secrets, know-how, and other proprietary rights of any type under the laws of any governmental authority, domestic or foreign, including rights in and to all applications and registrations relating to the foregoing (collectively, the “Intellectual Property Rights“) shall, as between you and TEITCO, at all times be and remain the sole and exclusive property of TEITCO.
  21. User Responsibilities
    To complete your registration, you will provide an email address and a password. You are responsible for maintaining the confidentiality of the password and account and are responsible for all activities that occur under your password or account. It is important for you to protect yourself against unauthorized access to your computer. Be sure to log off when you finish using a shared computer. You agree to (a) immediately notify us of any unauthorized use of your account or any other breach of security and (b) ensure that you exit from your account at the end of each session. We cannot and will not be liable for any loss or damage arising from your failure to comply with this section. You are solely responsible for all content that you upload, download, copy, post, publish, display, create, make available or allow any third party to make available, email, or otherwise transmit (hereinafter collectively “transmit”) in relation to the Sites or Service (such content, the “User Content”). You are entirely responsible for the contents of, and any harm resulting from, that User Content. That is the case regardless of whether the User Content in question constitutes text, graphics, multimedia, or computer software or code. We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including without limitation, removing the offending User Content from the Site or Service, suspending or terminating the account of such violators, and reporting you to the law enforcement authorities. In using the Sites and Service, you agree not to: Transmit any User Content that is: unlawful; harmful; threatening; excessively violent, abusive; vulgar; harassing; defamatory; obscene; pornographic; profane; indecent; inflammatory; libelous; tortious; hateful; racially, ethnically, socially, politically, legally, morally, religiously or otherwise objectionable; invasive of another’s rights including but not limited to rights of celebrity, publicity, or privacy; or may pose a security risk to any person, such as by incorporating their unauthorized images, names or personal information.
  22. File Submission
    TEITCO recommends double and triple-checked files before submission to us for printing. TEITCO does not alter files in any way. It is your responsibility to make sure files are 100% correct. TEITCO will try to catch errors provided by you or due to lack of revision.
  23. Turnaround Time
    Due to Covid and/or any unforeseen and uncontrollable circumstance, we will make every effort to ensure orders are on time, but we cannot be guaranteed. All turnaround times are for TEITCO Working/Business days ONLY. Also, if there are any issues with the file, turnaround time will be void and cannot be promised. 2-3 Working Days Order MUST be received before 3:00 PM ET, otherwise, it will be delayed an extra day. 3-5 Working Days & 5-7 Working Days Order MUST be received before 5:00 PM ET. Otherwise, it will be delayed an extra day.
  24. Data Storage
    TEITCO does not guarantee the backup, restore, and delivery of any digital goods the client provides to TEITCO for printing service, creating quotes or previewing samples. After TEITCO completes, the print service may delete the Digital Goods “Graphics art provided by the client. Small Graphic art with no print quality may be kept inside the client’s account for 30 days after the order is completed for the client to preview more details of the order if needed.TEITCO can’t provide copies of the graphics used for printing; the client must keep a backup of any Digital Goods “Graphics sent to TEITCO for printing service. This term applies if Graphic service is ordered once Digital Goods are delivered TEITCO does not keep a backup of any Digital Goods.
  25. Duplicate TEITCO
    At the sole description, you may delete or revoke access to any duplicate account. Creating a duplicate account could potentially put you at risk of account data loss due to the fraud prevention policy.
  26. Promotions
    TEITCO, to protect the Promotions from abuse, we Gon Print limit the promotions to one per client. Clients with duplicate accounts disqualify from any current and future promotions. Creating accounts thru a third party with the purpose of abusing the promotions can print reserves the right to grant credit coupon promotions and could revoke or cancel the order even after payment is received.
  27. Trial DID Service
    Teitco will provide the client with a temporary local phone number (DID) solely for the purpose of trying the Teitco VoIP Service during the trial period. This number is non-transferable unless the client meets the following criteria:

    a) Having an active account with Teitco
    b) Maintaining an active VoIP service for at least 30 days
    c) Not violating any other standard Terms of Service at Teitco.com
    d) Paying a port-out fee of $75.00 if transferred within 90 days, or $7.00 thereafter.

  28. VoIP Trial Service
    Teitco will offer the client a promotional service free of charge for testing and using the VoIP service. If the client decides to continue using the service beyond the trial period, an invoice will be generated for the selected plan, including all relevant details. The client will not incur any fees if the service is canceled during the trial period.
    If the client chooses to provide a credit card for automatic signup, Teitco’s Automated Billing software will attempt to charge the credit card on file for the requested service.
  29. Cancellations
    Once an order is submitted to TEITCO, the order is FINAL. In some cases, the order may be eligible for cancellation, and a fee could be applied depending on what stage the order is at. In most cases, the job, Work order can’t be stopped or reversed.
  30. Shipping
    Incorrect Shipping Address / NO – P.O. Box Address / Undeliverable Package We DO NOT ship to P.O. Boxes. If you input the P.O. Box address into the shipping information, there may be extra charges. If the address is incorrect and/or the package is returned and/or the address is incorrect and/, or the package is undeliverable, extra shipping charges will be charged. We are unable to combine orders for shipment. Each order submitted is considered an individual shipment. Be aware our customers, yourselves, impute the shipping address. All information in the billing and shipping addresses is your 100% responsibility. TEITCO is NOT liable for errors or mistakes made by the clients, Yourself.
  31. Call Rating
    Calls will be rated as local if the call terminates within the LCA associated with the call’s originating ANI, which must be a 911 Enabled Two-Way Number. All calls terminating outside a Subscriber’s LCA will be rated as either intrastate, interstate or international long-distance. TEITCO will distinguish interstate versus intrastate versus international long distance based on the originating ANI and terminating ANI provided in the call signaling. TEITCO utilizes the value in the ‘FROM’ field in the SIP header as the originating ANI for establishing the jurisdiction of the call (i.e., interstate versus intrastate versus international). However, if a value is present in any of the SIP header fields used for caller id (e.g. Remote party ID, P-Asserted-Identity), TEITCO may use this in lieu of the “FROM” field as the originating ANI to determine the jurisdiction of a call. If TEITCO cannot accurately rate a call due to an invalid or omitted originating ANI, and its rating jurisdiction is not international, TEITCO will default to rating the call as intrastate. TEITCO will determine the originating or terminating carrier by evaluating the terminating ANI down to the NPA-NXX-X level. The customer must maintain the originating ANI for all outbound calls and abstain from any ANI manipulation in the call signaling.
  32. Local Call Rating Exclusion
    Rating outbound calls as local only applies to calls that utilize Two-Way Numbers as the originating ANI. Termination of calls from telephone numbers not provided by TEITCO (or ported to TEITCO) will be rated as either interstate or intrastate long distance. TEITCO will distinguish interstate versus intrastate long distance based on the originating ANI and terminating ANI provided in the call signaling. If TEITCO cannot accurately rate a call due to an invalid or omitted originating ANI, and its rating jurisdiction is not international, TEITCO will default to rating the call as intrastate.
  33. Toll-Free
    If Customer utilizes Toll-Free Numbers in connection with the Service, such toll-free service is an IP termination service for calls terminating to such Toll-Free Numbers. The customer is the Responsible Organization for such Toll-Free Numbers and all charges associated with the service.
  34. No Use with LCR
    Customer may not use the Service with (or in connection with) a least cost router (or “LCR ”), which TEITCO will determine, in its reasonable discretion, based upon analysis of Customer’s traffic patterns in the ordinary course of business.
  35. No Use with Auto-Dialer (or “Robo-Dialer”)
    In addition to any applicable limitations pursuant to the AUP (as defined below), Customer may not use the SIP Trunking Service with (or in connection with) an auto-dialer (or “Robo-dialer”), which Provider will determine, in its reasonable discretion, based upon analysis of Customer’s traffic patterns in the ordinary course of business.
  36. SMS Marketing Use. 
    The Service of SMS is for the sole purpose of customer communications. Teitco forbids using SMS service for marketing purposes; any account reported as spam or in the attempt will be terminated.

  37. Registered Address
    The Service requires a Registered Address. The customer may not move the physical location from which the Service is used away from the Registered Address without updating the Registered Address by the Customer as contemplated in the definition of “Registered Address. If Customer fails to notify TEITCO of any move of the physical location from which the Service is used without updating the Registered Address as contemplated in the definition of “Registered Address, TEITCO may, in its sole discretion, immediately suspend the Service until Customer notifies TEITCO of such move (or otherwise updates the Registered Address as contemplated in the definition of “Registered Address”). Customer acknowledges and agrees that (i) any such failure by Customer may cause incorrect routing of 911 Services for which Customer will be solely liable, and (ii) the continuation of certain 911 Enabled Two-Way Numbers may be restricted or precluded based upon the physical location to which Customer wishes to move the Registered Address.
  38. No Class 5 Features
    The Service does not include any Class 5 Features. For clarity, the Service will not provide any of the following call types: 976, 900, or 1010xxx.
  39. Toll-Free
    If Customer utilizes Toll-Free Numbers in connection with the Service, such toll-free service is an inbound-only service and does not provide any outbound calling, including, without limitation, 911 Services, with respect to such Toll-Free Numbers. 
    The customer is strictly prohibited from using (or reconfiguring to support such use) any toll-free service or any Toll-Free Numbers in connection with the Service) in connection with any outbound calls or any Improper Calls. TEITCO may take immediate action to prevent Improper Calls from taking place, including, without limitation, denying any Service to specific ANIs and/or terminating these Terms and Conditions and/or the Service.
  40. Network Jeopardy
    In addition to any other rights that TEITCO has or may have pursuant to these Terms and Conditions, if TEITCO determines, in its discretion, that Customer’s use of the Service (or the specific method or technology utilized by Customer) materially and adversely interferes with or otherwise places in jeopardy TEITCO’s network, other customers, partners and/or the overall business(es) of TEITCO or any of TEITCO’s other customers or partners, TEITCO may suspend or terminate these Terms and Conditions, and/or the Service immediately upon as much prior notification to Customer as is practicable under the circumstances, if any.
  41. If using “High Capacity” Voice Service, the following restrictions and limitations also apply
  42. Standard Business Use
    The Service is provided for Standard Business Use for a single company Only TEITCO reserves the right to ensure that Customer’s use of the Service is consistent with Standard Business Use and otherwise complies with these Terms and Conditions. If TEITCO determines that Customer is not using the Service for Standard Business Use for a single company, TEITCO may, in addition to all other rights and remedies pursuant to these Terms and Conditions, notify Customer and allow Customer the opportunity to cure any such use within two (2) calendar days. The customer may cure by stopping any such use, buying more trunks in order to comply with Standard Business Use, or changing the Customer’s use of the Service in any other way that is consistent with Standard Business Use. Additionally, TEITCO reserves the right to in any combination (i) immediately terminate the Service, (ii) charge a minimum inappropriate use fee of $500.00 and/or charge $0.05 per minute for all calls made during such periods of prohibited use (plus applicable toll-free and international charges), whichever is higher, to Customer’s payment method of record, and (iii) all applicable termination fees described in these Terms and Conditions.
  43. Inbound & Outbound Minute Thresholds
    Each High-Volume SIP trunk has a softcap of 3,000 combined inbound and outbound minutes for the US Lower 48, Hawaii, and most of Canada (excluding metered international and toll-free calling) in any calendar month (or billing cycle, if applicable). If you purchase 10 High Volume trunks, your softcap would be 30,000 minutes during any billing cycle that you maintain those 10 trunks in your account.
  44. Calls to other North American International numbers
    such as but not limited to US Virgin Islands and Yukon Canada, are not included as part of the High Capacity Voice Service and are charged on a per-minute usage
  45. Not for Wholesale
    The TEITCO High Volume trunking service is not to be used with any type of Softswitch or Call Router with the intention of feeding phone service from a service provider to their customers using their own Softswitch or Call Router in a wholesale/resale environment. This service is to be registered to a single PBX/Phone System direct that belongs to a customer for their own internal use only. You are not to use any TEITCO service for purchasing and porting the numbers out to another service provider. TEITCO may determine, in its reasonable discretion, if Service is being purchased or used in violation of this provision, based upon analysis of Customer’s traffic, purchase and cancellation patterns in the ordinary course of business. In addition to all other remedies that TEITCO has listed as part of the terms listed in this agreement, TEITCO has the right to assess a Port Out fee of up to $50.00 per phone number that is being ported out of an account that TEITCO has reasonably determined is being used for the resale of phone numbers.
  46. If using “Metered” Voice Service, the following restrictions and limitations also apply
     i. Top-up Accounts: All metered services require the customer to pre-pay a minimum of $25.00 but
    The customer can request that the dollar amount be higher. Metered Services are used such as Toll-Free, International, or any other items defined in Section (Metered or Additional Charges.) Once the customer’s balance is less than $5.00 the system will auto-charge your Credit Card the Top Up amount by default of no less than $25.00 or any higher amount that you request. The Top Up service will only charge your account once every 24 hours so if you are using more than $25.00 per day in metered services, you will need to have us increase that Top Up amount. Once your Balance falls to $0.00, no Metered Services will be allowed and will be blocked.
  47. If using “High Volume” Fax Service, the following restrictions and limitations also apply:i. Standard Business Use
    The Service is provided for Standard Business Use for a single company
    Ii. Fax Page Thresholds: Fax Page Thresholds: Each FAXStation “High Capacity” trunk has a softcap of 3,000 combined inbound and outbound fax pages in any calendar month (or billing cycle, if applicable). If you purchase 10 FAXStation “ High Capacity ” trunks for a single location, your combined softcap would be 30,000 fax pages during any billing cycle and you maintain those 10 trunks in your account for each TEITCO location. A charge of $0.05 per page will be assessed for overages that exceed the combined softcap of all “High Volume” trunks in a single location
  48. If using the “150 Page Monthly” Fax Service, the following restrictions and limitations also apply
    Exceeding 150 Fax pages per month by more than 20% will incur a $0.05 per page charge for all
    faxes above the 150 pages per month.
  49.  FAXStation Outbound Limitation
    i. Outbound faxes can only be to the Lower 48 United States and US Toll-Free Numbers. Faxing to Canada, Alaska, Hawaii or other non-Lower US 48 states will not be completed.
  50. FAXStation User Portal Document Retention
     The FAXStation service includes a user portal where incoming fax documents may be viewed, and
    outgoing fax documents may be sent and viewed. The fax portal allows the retention period to be set on a per trunk, and per DID basis for up to a year by any admin user, after which the documents will be deleted. TEITCO will make reasonable efforts to honor these settings but there is no guarantee that the documents will be retained, and you agree that TEITCO will have no liability if the documents are deleted prior or after the retention period that has been set on your trunks or DIDs. It is the responsibility of the Customer to download or make copies of faxes and retain those within their own system if document retention is deemed important to the customer. The default retention period is currently 6 months but may change at any time and you the Customer can pick your own custom retention period of up to 1 year to override the default we set on account creation.
  51. 911 Services
    The Service includes either E911 Service (or Basic 911 Service under certain circumstances) if, and only if; the call’s originating ANI is a 911 Enabled Two-Way Number.
  52. 911 Service
    When a caller from the Customer’s Registered Address dials the digits 9-1-1 from a 911 Enabled Two-Way Number, the 911 Enabled DID Number and the Registered Address are automatically sent to the local emergency center serving the physical location of the Registered Address. Emergency operators will have access to this information regardless of whether the caller is able to verbally provide such information to the emergency call-taker. Accordingly, with E911 Service, the emergency operators will have the caller’s callback telephone number and Registered Address. In limited circumstances, callers utilizing a 911 Enabled Two-Way Number equipped with E911 may have their calls routed to the national call center. Please see the description below for an explanation of when this would occur and how this service operates. If a customer sends any number other than a 911 Enabled DID when calling 911, TEITCO reserves the right to substitute a Customer’s Primary E911 enabled Two-Way Number that is registered at the Customer’s Registered Address. In this case, the emergency operator will have this callback number and the call will be routed to the local emergency center serving this location. The Customer is responsible for testing and assuring that their proper address and call-back number is being delivered to the E911 center and can do this by dialing 933 and listening to the number transmitted and the registered address played back to the customer.
  53. Basic 911 Service
    When a caller from the Customer’s Registered Address dials the digit 9-1-1 from a 911 Enabled Two-Way Number, the call is sent to the local emergency center serving the physical location of the Registered Address. However, emergency operators answering the call will not have automatic access to the caller’s telephone number or the Registered Address because the emergency center will not be equipped to receive, capture or retain the Customer’s telephone number and/or Registered Address. Accordingly, callers must be prepared to verbally provide both callback and address information. If the call is dropped or disconnected, or if the caller is unable to speak, the emergency operator answering the call will not be able to call the caller back or dispatch help to the caller’s address.
  54. National Call Center Service
    Depending upon their geographic location, certain Customers do not have access to either E911 Service or Basic 911 Service. If the Customer does not have access to either E911 Service or Basic 911 Service, emergency calls placed using the digit 9-1-1 will be sent to a national emergency call center. A trained agent at the emergency call center will ask for the caller’s name, telephone number, and location and then transfer the caller to the appropriate local emergency center or otherwise determine the best way to provide emergency services to the caller. Like Basic 911 Service, the trained operators answering calls in the national call center will not have automatic access to the caller’s telephone number or Registered Address because the national call center will not be equipped to receive, capture or retain the Customer’s telephone number and/or Registered Address. Accordingly, callers must be prepared to verbally provide both callback and address information. 911 calls also may be sent to TEITCO’s national emergency call center if there is a problem validating the Registered Address provided by the Customer, if the Customer is located in an area that is not covered by the landline 911 network, or if the Customer has E911 Service or Basic 911 Service based on their geographic location, but the call fails to complete and is routed to the national emergency call center for failover purposes.
  55. E911 Service is not available from all local emergency centers; the determination of whether E911 Service, Basic 911 Service, or national call center service will apply generally is not controlled by TEITCO
    As additional local emergency centers become capable of E911 Service, TEITCO will automatically upgrade Customers from Basic 911 Service to E911 Service. TEITCO will not notify the Customer of any such upgrade. In limited circumstances, callers equipped with Basic 911 Service based on their geographic location may have their calls routed to the national call center as described above.
  56. TEITCO Free Trial Customers
    The FREE TRIAL service is for evaluation and NOT for production usage, all customers using the FREE TRIAL version of TEITCO DO NOT have the capabilities to make any 911 calls and all calls to 911 will be blocked during the FREE TRIAL period. IT IS YOUR RESPONSIBILITY TO ASSURE YOU HAVE A WORKING 911 SERVICE ON YOUR PBX WITH ANOTHER PROVIDER IF YOU ARE EVALUATING TEITCO WITH A FREE TRIAL ACCOUNT WHILE USING THE SYSTEM IN A PRODUCTION CAPACITY WHERE 911 SERVICE IS EXPECTED OR REQUIRED BY LAW. If and when you convert a FREE TRIAL account into a standard account, E911 service will be made immediately available.
  57. DISCLAIMER OF LIABILITY 
    CUSTOMER ACKNOWLEDGES AND AGREES THAT THE SERVICE IS INTERNET BASED AND THAT 911
     
    SERVICES ARE DIFFERENT THAN THAT OF TRADITIONAL WIRELINE SERVICE. FOR BASIC 911 SERVICE OR E911 SERVICE TO BE ACCURATELY ROUTED TO THE APPROPRIATE EMERGENCY RESPONDER, CUSTOMER MUST PROVIDE THE 911 ENABLED TWO-WAY NUMBER USED WITH THE SERVICE FOR THE REGISTERED ADDRESS, IN THE ‘USERPART’ OF THE ‘FROM URI’ CONTAINED IN THE SIP ‘FROM’ HEADER.
    CUSTOMER ACKNOWLEDGES THAT THE SERVICE MAY NOT SUPPORT BASIC 911 SERVICE OR E911 SERVICE DIALING IN THE SAME MANNER AS TRADITIONAL WIRELINE PHONE SERVICE. CUSTOMER AGREES TO INFORM ALL USERS OF THE POTENTIAL COMPLICATIONS ARISING FROM BASIC 911 SERVICE OR E911 SERVICE. SPECIFICALLY, CUSTOMER ACKNOWLEDGES AND AGREES TO INFORM ALL EMPLOYEES, GUESTS, AND OTHER THIRD PERSONS WHO MAY USE THE SERVICE THAT BASIC 911 SERVICE AND E911 SERVICE WILL NOT FUNCTION IN THE CASE OF A SERVICE FAILURE FOR ANY OF THE FOLLOWING REASONS: (A) POWER FAILURES, (B) SUSPENDED OR TERMINATED BROADBAND SERVICE, (C) SUSPENSION OF SERVICE DUE TO BILLING ISSUES, AND/OR (D) ANY OTHER SERVICE OUTAGES NOT DESCRIBED HEREIN. CUSTOMER FURTHER ACKNOWLEDGES THAT FAILURE TO PROVIDE A VALIDATED REGISTERED ADDRESS IN THE REQUISITE FORMAT MAY CAUSE ALL BASIC 911 SERVICE OR E911 SERVICE CALLS TO BE ROUTED TO THE INCORRECT LOCAL EMERGENCY SERVICE PROVIDER. FURTHERMORE, CUSTOMER RECOGNIZES THAT USE OF THE SERVICE FROM A LOCATION OTHER THAN THE LOCATION TO WHICH THE SERVICE WAS ORDERED, I.E., THE “REGISTERED ADDRESS,” MAY RESULT IN BASIC 911 SERVICE OR E911 SERVICE CALLS BEING ROUTED TO THE INCORRECT LOCAL EMERGENCY SERVICE PROVIDER.
    CUSTOMER ACKNOWLEDGES AND AGREES THAT NEITHER TEITCO, ITS UNDERLYING CARRIER, OR ANY OTHER THIRD PARTIES INVOLVED IN THE ROUTING, HANDLING, DELIVERY, OR ANSWERING OF EMERGENCY SERVICES OR IN RESPONDING TO EMERGENCY CALLS, NOR THEIR OFFICERS OR EMPLOYEES, MAY BE HELD LIABLE FOR ANY CLAIM, DAMAGE, LOSS, FINE, PENALTY OR COST (INCLUDING, WITHOUT LIMITATION, ATTORNEYS FEES) AND CUSTOMER HEREBY WAIVES ANY AND ALL SUCH CLAIMS OR CAUSES OF ACTION, ARISING FROM OR RELATING TO THE PROVISION OF ALL TYPES OF EMERGENCY SERVICES TO CUSTOMER. CUSTOMER FURTHER AGREES AND ACKNOWLEDGES THAT IT IS INDEMNIFYING AND HOLDING HARMLESS TEITCO FROM ANY CLAIM OR ACTION FOR ANY CALLER PLACING SUCH A CALL WITHOUT REGARD TO WHETHER THE CALLER IS AN EMPLOYEE OF CUSTOMER. CUSTOMER ACKNOWLEDGES AND AGREES TO HOLD HARMLESS AND INDEMNIFY BADNWIDTH.COM FROM ANY CLAIM OR ACTION ARISING OUT OF MISROUTES OF ANY 911 CALLS, OR WHETHER LOCAL EMERGENCY RESPONSE CENTERS ORNATIONAL EMERGENCY CALLING CENTERS ANSWER A 911 CALL OR HOW THE 911 CALLS ARE HANDLED BY ANY EMERGENCY OPERATOR INCLUDING OPERATORS OF THE NATIONAL CALL CENTER. THE LIMITATIONS APPLY TO ALL CLAIMS REGARDLESS OF WHETHER THEY ARE BASED ON A BREACH OF CONTRACT, BREACH OF WARRANT, PRODUCT LIABILITY, TORT, AND ANY OTHER THEORIES OF LIABILITY.
  58. Service Availability
    TEITCO may from time to time interrupt or otherwise impact Service for maintenance. TEITCO will make commercially reasonable efforts to provide to customers with reasonable advance notification (via phone, email, or other means) of such maintenance. TEITCO will use commercially reasonable efforts to perform such maintenance in a manner that will not unreasonably interrupt the Service. TEITCO may interrupt its provision of the Service for unscheduled emergency maintenance without notice to the Customer.
  59. Interoperability Requirement
    TEITCO takes no responsibility for the installation or configuration of a customer’s Phone System or any responsibility related to connecting a customer’s Phone System to any customer premise equipment.
  60. Porting Numbers
    TEITCO will require a completed and signed Letter of Authorization (“LOA”) for any existing telephone numbers Customer wishes to port from another carrier to TEITCO. TEITCO may require a recent copy of the current phone bill which contains Customer’s Billing Telephone Number (“BTN”) as well as a record of any numbers that need to be ported. TEITCO must receive the necessary LOA(s) and/or bill copy(ies) before TEITCO will initiate a port request and obtain a Confirmed Port Date. The “Confirmed Port Date” is the date upon which the current voice provider has agreed to port a number(s) to TEITCO. The Confirmed Port Date interval may in some cases take as long as one (1) to two (2) business weeks after the Customer initiates the port request; since the port interval is a product of the accuracy of the information provided to TEITCO by Customer, as well as the processing speed of Customer’s current voice provider, TEITCO makes no guarantees regarding the promptness of a port, however, all ports will be provided consistent with applicable law. Any number ported away from TEITCO can be charged up to $15.00 per number and any number that has been held in the account for less than 60 days can be charged up to $75 per number.
  61. Service Activation Date
    All services are activated within a few minutes usually of signing up for service with the exception of Number ports, which usually take 2-4 weeks.
  62. Service Commencement Date
    The “Service Commencement Date” will be the date when the voice components are delivered and confirmed by TEITCO via email. The “Service Commencement Date” will be the first date of billing for the Service.
  63. TEITCO Equipment Rentals
    Customers may rent new or like-new TEITCO Equipment such as, but not limited to, IP-Phones or VoIP Gateways, on a monthly basis along with twelve (12) months or thirty-six (36) months service plans for TEITCO coterminously with their Service plan.Customer acknowledges and agrees that TEITCO Equipment shall at all times be the sole property of TEITCO and not of Customer, and Customer shall not remove (or permit anyone else to remove) any notices pertaining to ownership of the Equipment.
    To the extent the terms of this Agreement do not otherwise conflict, the Equipment must be returned Customer agrees to use the TEITCO Equipment solely at the physical address registered with TEITCO and must not remove the Equipment from such address.
    Upon termination of the rental period, the Equipment must be returned to TEITCO’s return center. If Customer fails to return the Equipment to TEITCO’s return center at the termination of the rental period or if the Equipment is returned to TEITCO’s return center, but TEITCO determines the Equipment is damaged (beyond normal wear and tear) or was destroyed or lost during shipping to TEITCO’s return center, TEITCO will generate an invoice to the Customer for the MSRP of the TEITCO phones and charge the amount in the Customer’s TEITCO account record. MSRP prices can be found at https://portal.TEITCO.com. Additionally, if the rental arrangement is terminated prior to the end of the rental period by TEITCO for Cause or by Customer without cause, Customer is responsible for paying the full remaining balance on all rental charges owed for the remaining TermCustomer must use best efforts to maintain the Equipment in good repair and working condition with exceptions for normal wear and tear. Customer must not pledge the Equipment as security for any debt or allow liens or encumbrances to be assessed against such phones. Customer must not transfer or loan the phones to any other party.
  64. RMA Generally
    In advance of returning the Equipment, Customer must contact TEITCO’s technical support department to request an RMA number for tracking purposes during the return process. The RMA number must be clearly visible on the outside of the shipping box (es) and return slip. The Equipment must be returned in the original packaging. TEITCO pays the shipping costs to have the Equipment shipped to Customer as part of an RMA, and Customer is responsible for all costs related to packing and shipment of the Equipment to TEITCO’s return center at the end of the rental period.
    Throughout the rental period, Customer assumes all risk of loss or damage to the Equipment. TEITCO owns the Equipment throughout and after the rental period.
  65. Use of the Equipment
    Customer agrees to use the Equipment solely in connection with the Service and in accordance with this Agreement.
  66. Call Duration Thresholds
    All per minute rates (Interstate LD, Intrastate LD, Local if applicable, 800 Domestic) assume at least 95% of calls terminating will be of a call duration of no less than six (6) seconds in length. If 5% or more of Customer’s completed calls are equal to or less than six (6) seconds in length during any billing cycle, then TEITCO reserves the right to charge, and Customer will pay, a charge per short duration services rates at $0.07 per minute This charge will be in addition to the Customer’s current rates.
  67. International Rates
    If no rate schedule is attached, international rates are available upon request TEITCO specializes in US and Canada Local Call services all international calls are offered as prepaid service per minute, and rates are subject to change. TEITCO reserves the right to block all or a number of high costs international routes.
  68. Alaska Long Distance Rates
    Outbound interstate calls terminating to Alaska will be billed as per the International rate schedule contact us for further details of actual rates.
  69. 800/Toll Free Domestic Rates
    Domestic inbound calls to Toll-Free Numbers are billed at the quoted flat, per-minute rate or rate schedule that you agreed to at signup and can be found at TEITCO.com or contact us for latest rates.
  70. Directory Assistance and Operator-Assisted Dialing
    The Service may provide Operator and Directory Assistance. Specific per call rates will apply.
  71. LNP Charges
    A per Phone Number charge as defined per our service rates will be charged for each phone number you request us to port. This charge is placed on your account regardless if you cancel the port request after submitting it. For canceled LNP requests within 48 hours of FOC, a non-recurring charge of $75 per Number will be charged. Once a port has been completed, you can initiate a port out of any number at any time to any carrier.
  72. Payphone Surcharges
    In the event Customer’s Toll-Free Number(s) receives any inbound calls originating from a Payphone, these calls will be subject to a charge per call. The charges are based on regulated FCC Payphone Compensation rules. These regulatory charges will be passed through directly to the customer per our services rates.
  73. Billing and Payment
    TEITCO will bill Customer for the Service as provided in these Terms and Conditions. Invoices will include all applicable federal, state, and local taxes. All such taxes, and all use, sales, commercial, gross receipts, privilege, surcharges, or other similar taxes, license fees, miscellaneous fees, and surcharges, whether charged to or against TEITCO, Inc., which will be payable by Customer. However, if Customer provides proof of its specific tax-exempt status, TEITCO will not charge applicable taxes due to such exemption. Customer will supply TEITCO a valid and properly executed tax exemption certificate(s). In such cases, Customer remains responsible for, and agrees to pay, any and all remaining non-exempt charges; tax exemption status validation is solely the responsibility of Customer and TEITCO will not be obligated to consider any retroactive tax exemption.
    TEITCO will commence billing for the Monthly Recurring Charges and usage of the Service on the Service Commencement Date. Payments are due on the invoice date and auto drafted from your Credit Card. If your Credit Card fails to allow the charge amount After (2) days of non-payment, all fees will accrue interest at a rate of one and one-half percent (1.5%) per month or any part thereof, or the highest rate allowed by applicable law, and customer will pay all collection costs incurred by TEITCO (including, without limitation, reasonable attorney’s fees) and customer at TEITCO sole decision may terminate or suspend all services. If TEITCO terminates the Service, then all unbilled or uncollected fees will apply. TEITCO retains the right to bill, including any amended or corrected billing, for the Service(s) for a period of up to twelve (12) months, commencing from the date the billed Service(s) were provided to Customer. TEITCO will retain such billing rights for this twelve (12) month period notwithstanding any prior billing to Customer for the same period(s) and regardless of any otherwise conflicting billing conditions in these Terms and Conditions. Customer agrees that for the duration of this twelve (12) month period, TEITCO will not be deemed to have waived any rights with regard to billing for the provided Service(s) that are subject to this period, nor will any legal or equitable doctrines apply, including estoppel or laches.
  74. Billing Disputes
    If Customer disputes any invoiced charges will submit written notification on or before the applicable due date by opening a support ticket as outlined in our wiki http://wiki.TEITCO.com/display/ST/Support, with “Notice of Billing Dispute” in the subject line of the ticket with respect to any disputed charges. Such ticket will include Customer’s complete contact information, the specific dollar amount in dispute, detailed supporting reasons for the dispute, and any supporting documentation available.
    The parties will work together in good faith to investigate any disputed charges and use commercially reasonable efforts to resolve any payment dispute within thirty (30) calendar days after receipt of such a “Notice of Billing Dispute” from Customer. Any dispute resolved in favor of Customer will be credited to Customer’s next invoice(s); any disputed amounts resolved in favor of TEITCO will be due and payable by Customer immediately if not paid already. TEITCO reserves the right to deny any and all matters described in any “Notice of Billing Dispute” (or delay TEITCO’s determination of the validity of any matters described in any “Notice of Billing Dispute”) if Customer’s account is in arrears or otherwise not in good standing in accordance with TEITCO’s customary practices and policies.
  75. Resumption of Service
    If Customer requests that Service be restored after a suspension or termination, TEITCO has the sole and absolute discretion to restore such Service and may condition restoration upon satisfaction of such conditions as TEITCO determines is necessary for its protection, including requiring Customer to execute a new agreement, pay all past due statements in full, pass TEITCO’s credit approval, and/or make advance payments. New NRCs also may apply to restore Service.
  76. Additional Non-Recurring Charges
    In addition to any other quoted charges in Metered or Additional Charges Section, please review the service charges for any additional charges.
  77. Inside Wiring
    Customer will be solely responsible to provide any needed internal wiring or extensions (including but not limited to required conduit, facilities, power, etc.) for customer premise equipment, Phone Systems, and phones required to use the service.
  78. DISCLAIMER OF WARRANTIES
    TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TEITCO OFFERS THE SERVICES (INCLUDING ALL CONTENT AVAILABLE ON OR THROUGH THE SERVICES) AS-IS. It MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND CONCERNING THE SERVICES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION, WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TEITCO DOES NOT WARRANT THAT THE FUNCTIONS OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT CONTENT MADE AVAILABLE ON OR THROUGH THE SERVICES WILL BE ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY SERVERS USED BY TEITCO ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TEITCO DOES NOT WARRANT OR MAKE ANY REPRESENTATION REGARDING THE USE OF THE CONTENT AVAILABLE THROUGH THE SERVICES IN TERMS OF ACCURACY, RELIABILITY, OR OTHERWISE.
  79. LIMITATION OF LIABILITY
    TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT, WILL TEITCO BE LIABLE TO YOU ON ANY LEGAL THEORY FOR ANY INCIDENTAL, DIRECT, INDIRECT, PUNITIVE, ACTUAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR OTHER DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF REVENUE OR INCOME, LOST PROFITS, PAIN, AND SUFFERING, EMOTIONAL DISTRESS, COST OF SUBSTITUTE GOODS OR SERVICES, OR SIMILAR DAMAGES SUFFERED OR INCURRED BY YOU OR ANY THIRD PARTY THAT arises IN CONNECTION WITH THE SERVICES (OR THE TERMINATION THEREOF FOR ANY REASON), EVEN IF TEITCO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TEITCO IS NOT RESPONSIBLE OR LIABLE WHATSOEVER IN ANY MANNER FOR ANY CONTENT POSTED ON OR AVAILABLE THROUGH THE SERVICES (INCLUDING CLAIMS OF INFRINGEMENT RELATING TO THAT CONTENT), FOR YOUR USE OF THE SERVICES, OR THE CONDUCT OF THIRD PARTIES ON OR THROUGH THE SERVICES. Certain jurisdictions do not permit the exclusion of certain warranties or limitations of liability for incidental or consequential damages, which means that some of the above limitations may not apply to you. IN THESE JURISDICTIONS, THE FOREGOING EXCLUSIONS AND LIMITATIONS WILL BE ENFORCED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.
  80. Indemnification To the extent authorized by law, you agree to indemnify and hold harmless TEITCO, its employees, officers, directors, affiliates, and agents from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting directly or indirectly from or arising out of (a) your violation of the Terms, (b) your failure to verify the copyright license, attribution, and other information associated with Content resulting from your use of TEITCO, (c) your use of any of the Services, or (d) the Content you make available on any of the Services.
  81. Termination By TEITCO
    TEITCO may modify, suspend, or terminate the operation of, or access to, all or any portion of the Services at any time for any reason. Additionally, your individual access to, and use of, the Services may be terminated by TEITCO at any time and for any reason, with and without notice. By you: If you wish to terminate this agreement, you may immediately stop accessing or using the Services at any time. Automatic upon breach: Your right to access and use the Services (including the use of your TEITCO Login Service account) automatically upon your breach of any of the Terms. To avoid doubt, the Terms’ termination does not require you to remove or delete any reference to previously applied TEITCO tools from your Content. Survival: The disclaimer of warranties, the limitation of liability, and the jurisdiction and applicable law provisions will survive any termination. The license grants applicable to Your Content are not impacted by the Terms’ termination and shall continue in effect subject to the applicable license terms. Your warranties and indemnification obligations will survive for five years after termination.
  82. Miscellaneous
    Handwritten alterations or additions to these Terms and Conditions made by Customer will not be considered part of the Terms and Conditions. These Terms and Conditions may only be modified, or any rights under it waived, by a separate written document executed by both parties.
  83. Governing Law & Jurisdiction
    The Terms of Service Agreements are governed by and construed by the laws of the State of Florida in the United States, not including its choice of law rules. Dispute resolution: The parties agree that any disputes between TEITCO and you concerning these Terms or any of the Services may only be brought in a federal or state court of competent jurisdiction sitting in the Miami-Dade County of Florida, and you hereby consent to the personal jurisdiction and venue of such court. Suppose you are an authorized agent of a government or intergovernmental entity using the Services in your official capacity, including an authorized agent of the federal, state, or local government in the United States, and you are legally restricted from accepting the controlling law, jurisdiction, or venue clauses above. In that case, those clauses do not apply to you. For any such U.S. federal government entities, these Terms and any action related to it will be governed by the laws of the United States of America (without reference to conflict of laws) and, in the absence of federal law and to the extent permitted under federal law, the laws of the State of Florida (excluding its choice of law rules). No waiver: Either party’s failure to insist on or enforce strict performance of any of the Terms will not be construed as a waiver of any provision or right. Severability: If any part of the Terms is held to be invalid or unenforceable by any law or regulation or final determination of a competent court or tribunal, that provision will be deemed severable and will not affect the validity and enforceability of the remaining provisions.No agency relationship: The parties agree that no joint venture, partnership, employment, or agency relationship exists between you and TEITCO as a result of the Terms or from your use of any of the Services.Integration: These Terms Of Service and any applicable Additional Terms constitute the entire agreement between you and TEITCO relating to this subject matter and supersede any prior communications or agreements between you and TEITCO relating to access and use of the Services.   84. RFC 3261 Compliance
    The Service is based on RFC 3261 – “SIP-Session Initiation Protocol” and requires Customer to conform to this standard. If TEITCO determines that Customer is in violation of RFC 3261 and this violation prevents TEITCO from accurately rating or billing Customer’s calls, TEITCO reserves the right to bill the customer based on their estimated usage and rates, based on TEITCO’s discretion.
  85. Third Party Beneficiaries. The parties do not intend by the execution, delivery, or performance of these Terms and Conditions to confer any benefit, direct or incidental, upon any person or entity not a party to these Terms and Conditions.
  86. CNAM and Directory Listing. The following applies to Directory Listing and related services only, if applicable
    Customer may request Directory Listing and/or CNAM. Upon the submission of any request for Directory Listing, the Customer approves the inclusion of any applicable information with any applicable Directory Listing.(Remainder of page Terms of service  intentionally left blank)
